A Maine non-disclosure agreement (NDA) is a contract drawn up between two (2) parties that restricts the disclosure of Confidential Information. Once signed, it confirms that each party agrees to maintain the confidentiality of any information until such a time when the information no longer qualifies as a Trade Secret, or a written notice has been provided that releases either or both parties from the agreement. This type of document is usually drafted when a company is hiring a new employee and wishes to keep its Trade Secrets out of the hands of competitors.

“Trade Secret” Definition
“Trade secret” means information, including, but not limited to, a formula, pattern, compilation, program, device, method, technique or process, that:
A. Derives independent economic value, actual or potential, from not being generally known to and not being readily ascertainable by proper means by other persons who can obtain economic value from its disclosure or use; and
B. Is the subject of efforts that are reasonable under the circumstances to maintain its secrecy.
