The Utah non-disclosure agreement is a document which can be used to protect the secrecy of a business entity’s Confidential Information when entering into a business relationship, be that with a partner or an employee. The parties who have signed the form agree to hold and maintain the confidentiality of the Trade Secrets and that, should they fail to accomplish this, they will be held 100% liable for any damages which may accrue due to the misappropriation. Step 2 -The date on which the non-disclosure agreement is being created will need to be specified, as will the name of each party.

Step 3 – If the agreement is Unilateral, check the box to make this distinction. If the agreement is Mutual, check the second box. Party A’s relationship to party B and vice versa must be indicated as well.

Step 4 – The number of days a party has to return materials to a requesting party must be specified; provide the appropriate number in section five (5).

Step 5 – The parties must fill in the remaining fields with the date, their names and their printed signatures.
