  • Annual Meetings – Regular meetings of shareholders may be held on an annual or other less frequent periodic basis. It is not mandatory unless required by the articles or bylaws.[2]
  • Corporate Bylaws – Bylaws may contain any provision relating to the management or the regulation of the affairs of the corporation in accordance with state law and the articles of incorporation.[3]
  • Issuance of Stock – A corporation may issue securities and rights to purchase securities only when authorized by the board.[4]
