Hawaii corporate bylaws constitute the rules and governing structure of a corporation and are adopted via a document that is executed by the incorporators or board of directors. In addition to relaying the corporation’s rules of operation, the bylaws will list the appointment of all directors, officers, and committees at the entity’s inception. After being adopted, the rules can be amended, repealed, or added to by the directors and shareholders. Unlike the articles of incorporation, the bylaws do not need to be filed and made part of public record.
