North Dakota corporate bylaws are rules set forth at the inception of a corporation to guide the management and structure of its internal affairs. Unless reserved for voting shareholders, the right to adopt initial bylaws is vested in the incorporators or the board of directors. The bylaws should control the election of corporate members, stock distribution, shareholder rights, annual meetings, and any other provision concerning the daily operations of the corporation. Once adopted, a bylaw can be amended or repealed by the board; however, all decisions of the board may be contested by a shareholder or shareholders with five (5) percent or more of the voting power.
