Nebraska Corporate Bylaws Template

Nebraska corporate bylaws are rules that spell out the management structure of a corporation and regulate its day-to-day business operations. An initial set of bylaws will be created by the board of directors or incorporators after filing the articles of incorporation with the Secretary of State. The board may then propose new provisions or alter existing bylaws to comply with the business’s growing needs. Initiating changes to the bylaws may require consent from the corporation’s voting shareholders; the manner in which voting is conducted should be indicated in the bylaws.

Emergency Bylaws

If a majority of the corporate directors cannot be assembled due to a catastrophic circumstance, an emergency set of bylaws may be put into effect. The emergency bylaws may appoint substitute directors and define the procedures and requirements for board meetings, among other things (§ 21-225).
