Pennsylvania Corporate Bylaws Template

Updated April 25, 2023

Pennsylvania corporate bylaws are a written document containing provisions that govern the structure, organization, and statement of purpose of a company. This document is created by the incorporator/owner or board of directors at the time of the company’s founding. The bylaws define what the company does, how the board of directors operates, how directors and officers are terminated and elected, how the stock will be issued, and where and when the annual meeting of shareholders will take place. Anytime the bylaws are to be amended, it must be approved by the board of directors.
