The Indiana non-disclosure agreement is a document that protects against the misappropriation of Confidential Information. The contract can be Unilateral or Mutual (sole-ownership of information or dual-ownership) and it relays, in no unclear terms, the prohibition of releasing any non-public data to a third party, data which would be beneficial to the company’s competitors. An agreement of this nature is often drawn up when an employee has been freshly hired for a position in a company, or when two (2) or more individuals are entering into a partnership.

How to Write

Step 1 – Download in Adobe PDF, Microsoft Word (.docx) or Open Document Text (.odt).

Step 2 – In the first paragraph, fill in the fields which ask for the date and the names of each party.

Step 3 – Select the appropriate box to define the type of agreement; either Unilateral or Mutual. In the third paragraph, enter the relationship of Party A to Party B and the relationship of Party B to Party A.

Step 4 – Should any materials be requested by one party, the other party will have a pre-determined number of days to return the missing items. Enter the number of days in the field of paragraph five (5).

Step 5 – The signature, printed name, and date of signing of both parties should be submitted at the bottom of the second page. This will put the agreement into effect.
