A Montana non-disclosure agreement is a form that binds one (1) or more individuals to holding and maintaining Confidential Information for the purposes of defending Trade Secrets from competing businesses. The protection against the unauthorized disclosure of proprietary information ensures that the company or organization in question can use their Trade Secrets to the best of their ability. Drawing up a contract such as a non-disclosure agreement allows companies to hold responsible parties liable and recoup damages caused by the misappropriation of Confidential Information.

“Trade Secret” Definition
“Trade secret” means information or computer software, including a formula, pattern, compilation, program, device, method, technique, or process, that:
(a) derives independent economic value, actual or potential, from not being generally known to and not being readily ascertainable by proper means by other persons who can obtain economic value from its disclosure or use; and
(b) is the subject of efforts that are reasonable under the circumstances to maintain its secrecy.
