The Pennsylvania non-disclosure agreement is used to ensure that the Confidential Information owned by one or both of the agreement’s signatories stays out of the hands of competing businesses. In signing the form, the parties have shown that they’re aware of the confidentiality of the business’s Trade Secrets, that there will be consequences should they release them to a third party, and that the agreement will remain in effect until written notice is given or the information in question no longer falls under the umbrella of Trade Secret or Confidential Information.

Definition of “Trade Secret” – 12 PA Cons Stat § 5302 (2016)

Laws – 12 PA Cons Stat § 53 (2016)

Non-Compete Agreement – A non-compete agreement allows an employer to protect him/herself against employees or associates competing in a similar field once the business relationship has terminated.

How to Write

Step 1 – Download in Adobe PDF, Microsoft Word (.docx) or Open Document Text (.odt).

Step 2 – The first page will start off asking for the date that the agreement is being created and the name of both parties involved.

Step 3 – A Unilateral agreement can be defined as one in which the first party has sole ownership of the information. Check the first box of the second section if this is the type of agreement being created. If this is not the case, and both parties own the information, select the second option labeled “Mutual.”

Step 4 – In the applicable field, enter the number of days that a requesting party can expect to wait for materials to be returned to them.

Step 5 – Each party must enter the date that the agreement is being executed, they must enter their printed names, and they must provide their signatures. Once this has been completed, the agreement will take effect.
