Updated March 12, 2024

A violation of a non-disclosure agreement (NDA), or a cease and desist letter, is provided to a party that violated an NDA. The cease and desist indicates that confidential information was released to a third (3rd) party. The cease and desist letter requests the violating party to immediately discontinue disclosing confidential information, return all materials, and respond that they will stop disclosing such information.

How to Write

Step 1 – Download in PDF, MS Word, OpenDocument.

Step 2 – At the top of the letter, the concerned party will be required to identify themselves. Below this, the date can be supplied.

Step 3 – The name of the person the letter is addressed to can be submitted on the top line. The date that the original NDA was signed must also be indicated.

Step 4 – The letter’s recipient will be required to respond to the request by the date indicated in the fields at the bottom of the letter. The party sending the letter will need to sign their name on the bottommost field.
