A Massachusetts single-member LLC operating agreement is a legal document that is acquired for completion by a sole proprietor (single owner) who would like to establish standard operating procedures and policies for their company. The state of Massachusetts does not require that any business implement the document to operate within the state, however, it would be highly recommended that all businesses take the time to complete and file the document with the state inasmuch as this is the document that shall separate the owner’s personal assets (financial and otherwise) from the liabilities and debt of the business. Without this document in place, the owner may be held liable in the event of presentation of any litigation, business bankruptcy or failure. The document also provides tax benefits, unavailable to the owner without placement of the document.
