A Michigan single-member LLC operating agreement is for limited liability companies with just one owner. The single owner can use this document to record the primary internal operations of the business and establish its purpose. An owner can also provide terms to govern a number of financial and legal issues, such as the rights and duties of the owner and managers, the owner’s personal assets, tax treatment, authority to act in the company’s name, liability and indemnification, and more. Michigan LLC owners are strongly advised to create an operating agreement.
§ 450.4215 – An operating agreement for an LLC with only one (1) member is not enforceable due to only one (1) party in the agreement.
