The Mississippi multi-member LLC operating agreement is for owners of an LLC to outline their relationships as they relate to the business and establish the company’s general operations. The documents let owners set their percentage interests and valuations in the company, and in turn, they can allocate profits and losses among themselves. How to Write

Step 1 – Start in the header by writing the company’s name, followed by the effective date and each member’s name in the next section. Attach a sheet with additional names if required.

Step 2 – Section 1:

  • 1.1 Formation – Enter the date the company became effective and write the company’s name two times.
  • 1.2 Name – Write the LLC’s name again.
  • 1.4 Office – Enter the address of the company’s headquarters.
  • 1.5 Registered Agent – Choose a person to receive official communication for your company, and write his or her name and address here.
  • 1.6 Term – Fill in the date when the company commenced business.

Step 3 – Page 9: All the owners should sign here and print their names to execute the document.

Step 4 – Schedule 1: Record each member’s full name and street address, then have each one sign to verify the information.

Step 5 – Schedule 2: List the members’ investment amounts and percentage interests here. Have each member sign as well.

Step 6 – Schedule 3: Enter the valuations that correspond with each owner’s investment, and get their signatures. For each schedule, if more space is needed, write the additional owners’ names and information on separate sheets and attach them.

To help demonstrate the document’s authenticity, you can have a notary public fill in the last section, but this is not required. Prepare a copy of the completed form for each owner.
