  • Annual Meetings – A corporation shall hold a meeting of shareholders annually at a time stated in or fixed in accordance with the bylaw.[2]
  • Corporate Bylaws – The incorporators or board of directors of a corporation shall adopt initial bylaws for the corporation.[3]
  • Issuance of Stock – A corporation may issue the number of shares of each class or series authorized by the articles of incorporation.[4]

Emergency Bylaws

Emergency bylaws allow a corporation to adopt/amend certain bylaws to properly manage the company during a time of emergency.[5]
