Software Development Non-Disclosure Agreement (NDA)

A software development non-disclosure agreement (NDA) allows a company to safely share confidential technology with a third party. This is common when working with a contractor that agrees to help improve or collaborate on the owner’s software. If the contractor shares the software information, they could be liable for legal and financial damages.

How to Write

Step 1 – Download in PDF, MS Word, or OpenDocument.

Step 2 – The date that the agreement is being made, and the name of the parties, can be supplied in the first paragraph. The “Name of Software” and the “Purpose of Software” should be identified as well.

Step 3 – If the agreement is Mutual, and both parties have information that they wish to keep secret, the first checkbox should be selected. If the agreement is Unilateral, and the first party has sole ownership while the second party is prohibited from disclosing it, the second checkbox should be checked.

Step 4 – The number of days that a Requesting Party can be expected to wait for returned materials should be submitted in the section titled “OBLIGATIONS.”

Step 5 – Before both parties sign the form, the name of the State whose laws will govern the agreement must be entered. Both the first and second party must furnish the agreement with their signatures. They must also date the form and print their names.
