How to Form an LLC

1. Find a Business Name


Use the Oklahoma Secretary of State’s Business Search engine to check whether your desired business name is available. If no exact match shows up, it is most likely not in use by another business.

The name of your business must contain the words “limited liability company,” “limited company,” or the abbreviation “L.L.C.” or “LLC.”[2]

2. Select a Registered Agent 

In Oklahoma, all businesses are required to appoint and maintain a registered agent for service of process. The registered agent must be an Oklahoma resident, a domestic corporation, or a foreign business authorized to conduct business in the state.[3]

3. Register the LLC

There are two ways to apply for the registration of your LLC: online or by mail.


Option 1: File Online

Go to sos.ok.gov/filing to access the state’s online filing system.

On the online filing dashboard, select the appropriate online registration form depending on whether your LLC is domestic or foreign. Then enter your name and email address.


Type in your desired LLC name. Be sure to contain the words “limited liability company,” “limited company,” or the abbreviations “L.L.C.” or “L.C.”


Enter the address of your business’s principal place of address.


Indicate whether your registered agent is an individual or business. Provide the name and address of your agent below.


Read the statement and sign your name by typing it in the provided field.


Review all the information you provided on the application to ensure their accuracy. You will then be prompted to create an account to pay the filing fee.


Option 2: File By Mail

Complete the appropriate form and send the document to the provided address with an enclosed payment.

4. Obtain an EIN


Every business is required to apply for an Employer Identification Number (EIN) with the IRS in order to begin operating your business.

5. Write an Operating Agreement

While Oklahoma does not legally require businesses to adopt an operating agreement, it is still recommended to create one for internal purposes.

6. Choose a Tax Classification

Below are the most common types of LLC tax classification:

  1. LLC – As an LLC, a sole proprietorship or partnership is considered a “pass-through entity,” which means all profits are taxed as income for the members/owners.
  2. S-Corporation – All business profits and losses are sent to the shareholders, who must pay income tax. To file as an S-corp, an LLC must file IRS Form 2553 within 75 days of formation.
  3. C-Corporation – All business profits and losses are filed as a separate corporate entity. To file as a C-corp, an LLC must file IRS Form 8832 within 75 days of formation.

7. File Annual Certificate

Every business in Oklahoma is required to file an annual certificate with the Secretary of State to remain in good standing. It must be filed on or before the anniversary of the LLC’s formation each year. It can be filed online or by mail, with a filing fee of $25 for domestic corporations and $50 for foreign corporations.[4]
